Constitution of Net Impact at The University of Utah- Undergraduate Chapter

Article I – Name

Net Impact at the University of Utah- Undergraduate Chapter (also known as Net Impact-Undergraduate) serves as the hub and catalyst for triple bottom line practices within the University of Utah. By bringing the resources of an international organization to the students of the University of Utah, encouraging the instruction of the triple bottom line within the college courses, and supporting sustainable economic legislation, Net Impact at the U shall encourage and assist its members in any socially and/or environmentally sustainable entrepreneurial pursuits while simultaneously working within local and academic community to promote legislation, course work, and opportunities and that encourage social/environmental entrepreneurism.

Article II – Purpose

Net Impact at the University of Utah- Undergraduate Chapter (also known as Net Impact-Undergraduate) serves as the hub and catalyst for triple bottom line practices within the University of Utah. By bringing the resources of an international organization to the students of the University of Utah, encouraging the instruction of the triple bottom line within the college courses, and supporting sustainable economic legislation, Net Impact at the U shall encourage and assist its members in any socially and/or environmentally sustainable entrepreneurial pursuits while simultaneously working within local and academic community to promote legislation, course work, and opportunities and that encourage social/environmental entrepreneurism.

Article II – Membership

1) Any undergraduate student who is interested and passionate about social responsibility and/or environmental sustainability.

2) In order to be fully recognized a member of Net Impact at the U, the student must register for membership at the Net Impact website (which can be found through the Net Impact at the U website). Once this task has been completed the member must inform and be verified by the Net Impact at the U Board. Until verification by the board, said member will not be given full access to the rights and privileges full members enjoy.

3) Full members of Net Impact at the U will have access to an extensive database of international paid internships, the ability to attend the annual Net Impact conference with the Net Impact at the U board, and the ability to attend exclusive networking events hosted by Net Impact at the U.

Article IV – Meetings

1) The Net Impact at the U Board shall meet every other week in regularly scheduled meetings that best adhere to the board’s academic and professional schedules. An open meeting shall be held once a month to which any Net Impact at the U can attend to voice their questions, comments, or concerns to the board.

2) Regular meeting times shall be decided upon at the beginning of each semester. These meetings should be held twice a month. Special meetings will be called at the discretion of the Net Impact at the U President.

Article V – Leadership Board

1) The Net Impact at the U leadership board shall consist of the following five positions:

1.1) President

The President of Net Impact at the U shall be in charge of organizing and running meetings, acting as spokesperson for Net Impact at the U, and work with other board members to coordinate programs, activies, and conference trips.

1.2) President Elect

The President Elect shall assist the President in his/her duties, they are also responsible for keeping notes during board meetings.

1.3) Vice President of Finance

The Financial Director shall primarily be charged with overseeing any and all budgetary concerns of Net Impact Utah. This task includes: The seeking out of sponsorships, budget planning/presenting, and the handling of transactions.

1.4) Vice President of Marketing and Communications

The Vice President of Marketing and Communications will maintain the Net Impact at the U social media accounts (Facebook and Twitter), as well as the club’s page on the Net Impact website. This includes keeping contact and event information up to date and advertising events. They are also responsible for advertising events at the university.

1.5) Vice President of Membership

The Vice President of Membership keeps track of the membership and meeting attendance. This involves: recruiting new members and organizing recruitment aspects of chapter events; surveying members and monitoring membership data for trends in growth, retention and interests; reporting on progress against chapter goals; and ensuring all members are signed up with Net Impact Central (free membership).

1.6) Vice President of Partnerships

The Vice President of Partnerships shall act as the liaison between Net Impact at the U and any other organizations, including non-profits, other undergraduate clubs/organizations, and the graduate chapter of Net Impact at the University of Utah.

2) Procedures for handling vacancies within the Executive Board.

Vacancies of President Elect and all Vice President positions within the Net Impact at the U’s Board shall be filled by process of election (see Article VI). A vacancy within the presidency shall be filled by the President Elect.

Article VI – Elections

1) State which officers will be selected by the membership, how long the terms of these officers will last, and how many times a person may hold the same office.

-President: Not elected by the membership (but elected at president elect), term of one academic year.

Term limit: 2

-President Elect: Selected by membership, term of one academic year.

Term limit: none

-Vice President positions: Selected by membership, term of one academic year.

Term limit: 2

2) All nominees must submit their names for nomination at a regularly planned open board meeting. Their Nomination must be supported by at least two other full Net Impact at the U members who must also attend the open board meeting in support. Nominees for the position of President Elect must plan to remain a student at the University of Utah (undergraduate or graduate) for the proceeding two academic years.

3) Upon Nomination, the nominee shall provide the board with a written summary of their qualifications, which will then be posted on the Net Impact at the U Website. Exactly one month after the vacancy a special election meeting shall be held to which all full members are encouraged to attend. At the election meeting, every nominee shall be given five minutes to review their qualifications for office. After hearing each candidate, all present members shall vote via provided paper ballots. The winner shall be chosen by simple majority.

4) In the event of a runoff-election, all present members shall vote for one of the two remaining candidates, if there are an even number of members present, the Net Impact at the U President shall relinquish her vote to ensure a winner.

Article VII – Funds

1) All revenues and expenses of Net Impact at the U shall be tracked and recorded by the Vice President of Finance. The specific financial budget of each academic semester shall be debated and voted upon by all board members during regularly held meetings. The budget must have one hundred percent approval in order to be adopted by Net Impact at the U.

Article VIII – Committees

No standing and/or ad-hoc committees shall exist within Net Impact at the U

Article X – Advisor

Any faculty advisors of Net Impact at the U must have demonstrated -by their research, entrepreneurial pursuits, activism, or similar activies- their commitment to the triple bottom line: People, Planet, Profit. The verification of Net Impact at the U’s faculty advisor must be unanimous among all board members. Once verified, the faculty advisor shall assist the board in securing funding, staffing tables at events, and acting as a liaison for Net Impact at the U to other University of Utah faculty, as well as any other duties they deem appropriate.

Article XI – Ratification

1) The constitution has been voted on and passed anonymously by the Net Impact at the U board

Article XII – Amendments

Any and All amendments to Net Impact at the U’s constitution shall be presented to the Net Impact at the U Board during the regularly planned board-meeting. Any amendments will then be presented to and discussed by all present board-members who will then vote upon the adoption of the aforementioned amendment. Only amendments that are supported by one hundred percent of present board-members shall be adopted into Net Impact at the U’s constitution.

Article XIII – Bylaws

Any and All bylaws being considered by Net Impact at the U shall be presented to the Net Impact at the U Board during a regularly planned board-meeting. Any bylaw will then be presented to and discussed by all present board-members who will then vote upon the adoption of the aforementioned bylaw. Only bylaws that are supported by one hundred percent of present board-members shall be adopted by Net Impact at the U.
